Ann M. Waeger, a partner in the firm’s Real Estate Department, will be a speaker at a seminar titled “Transactional and Environmental Risk Insurance: Opportunities and Legal Challenges Uncovered!” hosted by The Knowledge Congress. The presentation will be delivered via live webinar on June 22, 2016 from 3:00 – 5:00pm (ET).
The build-up in mergers and acquisitions (M&A) has fueled the increasing demand for transactional risk insurance from all sectors in the U.S. This type of insurance includes warranty and indemnity (W&I) or representations and warranties (R&W) insurance, tax liability and other contingent liability solutions.
Ms. Waeger and her fellow panelists will provide an in-depth discussion of the fundamentals of transactional insurance. The panel will discuss recent developments and identify best practices and practicalities in minimizing risks and maximizing opportunities. Key topics to be covered in this two-hour presentation include:
- Transactional Risk Insurance – An Overview
- Transactional Insurance in M&A Transactions
- Environmental Liability Insurance in Connection with Transactional Risks
- Negotiation of Environmental Insurance Policy Terms
- Opportunities and Legal Challenges
- Scope and Limitation
- Recent Developments
Ms. Waeger’s practice encompasses the purchase, sale and leasing of industrial and commercial real estate, the formation of business entities and the financing of industrial and commercial real property and business assets. She has a special focus on environmental issues in the transactional setting, including leases and agreements of sale, and the use of environmental insurance policies as a risk management tool. Ms. Waeger handles the oversight and negotiation of environmental insurance claims and the review, analysis, and negotiation of environmental insurance policies, and has played a prominent role in the negotiation and settlement of numerous insurance claims involving cost-recovery for investigative and remedial activities. She has successfully negotiated environmental insurance policies for use by clients, both in connection with the sale and redevelopment of contaminated properties and brownfields, and in connection with overall risk management programs.
