Greenbaum, Rowe, Smith & Davis LLP announces that David A. Roth, partner of the firm in its Real Estate Department, has become Technology Vice-Chair of the American Bar Association’s Committee on Environmental Disclosure of the Section of Environment, Energy and Resources. The committee focuses on legally mandated SEC and financial statement disclosure of environmental matters, non-legally mandated transparency/social responsibility disclosures of environmental matters to stakeholders, and other related disclosures. Roth also spoke on the topic of “Environmental Health and Safety Basics for the General Practitioner” at the New Jersey Corporate Counsel Association’s Fifth Annual All-Day Conference on September 27, 2007, which took place at the Hanover Marriott in Whippany, New Jersey.

Roth, chair of the firm’s Environmental Practice Group, concentrates his practice in environmental, health and safety law, with a special emphasis on compliance counseling and the environmental aspects of real estate and business transactions. He has effectively functioned as national environmental counsel for a group of consumer product and manufacturing companies.

A substantial part of Roth’s practice involves negotiating with and appearing before federal, state and local agencies in connection with enforcement actions, site investigation and clean up cases, permitting, voluntary agreements and administrative consent orders, and handling administrative and judicial appeals. He also works closely with client environmental, health and safety and legal departments on auditing, developing environmental management systems, and training with respect to compliance, reporting and disclosure requirements.

Roth represents clients engaged in Brownfield redevelopment projects, the purchase and sale of real estate, businesses and companies, mergers and acquisitions, divestitures, financings and the leasing of commercial and industrial facilities and properties. His role in these transactions includes overseeing due diligence, analyzing potential liabilities, providing advice on liability protection strategies, and structuring agreements to deal with post-closing site work, engineering and institutional controls, deed notices and land use restrictions.

At dozens of federal and state listed hazardous waste disposal and contamination sites throughout the United States, Roth has represented companies that have been notified of potential liability under CERCLA, the New Jersey Spill Act, and other state superfund laws. He has also been involved in environmental litigation in federal and state courts, such as private cost recovery and contribution lawsuits, property damage cases, toxic tort litigation and natural resource damage cases. He is co-author of “A Non-Toxic Ounce of Prevention: Notes on Handling Enron-era Environmental Investigations,” New Jersey Law Journal (December 2006).

Roth is a Director of the Environmental Law Section of the New Jersey State Bar Association. He is a graduate of Rutgers University and received his law degree from the University of Maryland School of Law.
