Greenbaum, Rowe, Smith & Davis LLP recently represented privately-held Bel-Ray Company, Inc. of Wall Township, New Jersey in its acquisition by Calumet Specialty Products Partners, L.P. (NASDAQ: CLMT), headquartered in Indianapolis, Indiana.

Corporate Department Partner (and Immediate Past Chair) Alan E. Davis and Associate Senwan H. Akhtar handled the transaction, assisted by Michael K. Feinberg (Partner) and Jo Ann Gambale (Associate) of the firm’s Tax, Trusts & Estates Department.

Bel-Ray Company, a manufacturer and global distributor of high-performance lubricants, was founded in 1946 by William Kiefer. Operating from its 32-acre manufacturing facility in Wall Township, the company has been led in recent years by Kiefer’s daughter Daryl Brosnan, President and CEO, under whom Bel-Ray has enjoyed substantial growth manufacturing and distributing high-end specialty lubricants to the mining, aerospace, automotive, energy, food, marine, military, motorcycle, powersports and textile industries. Financial terms of the transaction, which closed in December of 2013, were not disclosed.
