Ms. Greenwood devotes her practice to corporate and real estate law. Her transactional experience includes both routine and complex commercial, corporate and real estate matters for a wide range of business entities. She is actively involved in the day-to-day legal counseling of businesses, and handles corporate transactional, entity formation and governance matters.
Throughout her career, Ms. Greenwood has represented manufacturing, pharmaceutical, healthcare, telecommunications, cosmetics, food & beverage, medical device and pet industry clients in merger and acquisition transactions, joint ventures, supply/distribution arrangements, licensing and strategic alliances.
In her corporate law practice, her expertise includes the structuring, negotiation and drafting of documents for the sale and purchase of company assets and equity interests, and in the context of shareholder, commercial and banking transactions, including buy-sell, limited liability company operating, confidentiality, subscription, employment, severance, consulting, vendor supply, distribution, services, marketing and consulting agreements, as well as private placement memoranda.
Ms. Greenwood counsels clients on the intellectual property aspects of mergers and acquisitions, and also manages the trademark portfolios of various small to medium sized companies, including applications, office action letters, renewals and licensing.
In her real estate practice, Ms. Greenwood represents parties in all aspects of selling and acquiring commercial or industrial properties, including assisting in the negotiation of the offer, the purchase agreement, mortgage commitment and loan documents, drafting the operating and lease agreements, guiding clients through due diligence, and resolving title, zoning, survey and insurance issues. Ms. Greenwood has also represented both lenders and borrowers in financing transactions, including the review and adaptation of bank documents for commercial loan financing, and issuing legal opinions.
