W. Raymond Felton, Chair of the firm’s Corporate Department, will be joined by Bert Kaminski, Assistant General Counsel at Oracle, for the presentation “Keep Calm and Be Strategic: How to Prepare and Negotiate IT Agreements that Work” at the ACC New Jersey chapter’s 14th Annual All-Day CLE Conference. This year’s conference will be held on Friday, September 16 from 7:30am – 6:30pm at the Hanover Marriott in Whippany.
Mr. Felton and Mr. Kaminski will discuss the key components of technology-based agreements such as development contracts, licenses, and alliance. Their presentation will focus on a range of issues, including those related to ownership and retention of intellectual property (IP), confidentiality, representations and warranties, indemnification provisions, the drafting and negotiation of agreements, and governance and dispute resolution mechanisms.
Mr. Felton concentrates his practice in the areas of corporate, LLC and partnership formation and operations, mergers and acquisitions, securities law, reorganizations, joint ventures, employment law, and the financing of transactions through both public and private equity and debt. His clients range from entrepreneurial start-ups to established middle market companies operating in a diverse variety of industries, including manufacturing, technology, food & beverage, real estate, construction and healthcare, as well as service industries.
Mr. Kaminski is currently President of the ACC’s New Jersey chapter. His role within Oracle’s legal department encompasses serving as lead attorney for Oracle's cloud computing offerings, managing a legal team of 18 attorneys and over 1,000 sales representatives across North America, and serving as a senior advisor to Oracle’s management team on a broad range of technology related legal issues.
