Raymond Felton, Chair of the firm’s Corporate Department, will lecture at the all-day “New Jersey M&A Conference,” which will be presented by the New Jersey Institute for Continuing Legal Education on Tuesday, October 29, 2019 from 9:00am – 4:30pm (ET) at the Doubletree by Hilton in Fairfield.

Attendees of this program will gain insight into the most pressing market issues related to navigating efficient and successful mergers and acquisitions. Mr. Felton’s segment will focus on issues to consider when structuring and drafting earn-out arrangements in merger & acquisition transactions.  Other segments will address investment banker perspectives, tax considerations, representations and warranties insurance, negotiation tips, common deal breakers and road blocks, the importance of financial statements in M&A transactions, issues involving employees and intellectual property, M&A litigation, and ethical issues to consider when representing a party in an M&A deal.

Mr. Felton concentrates his practice in the areas of corporation, LLC and partnership formation, operations and agreements, mergers and acquisitions, securities law, reorganizations, joint ventures, employment law, and the financing of transactions through both public and private equity and debt.  He often serves as outside “in house” counsel, providing general legal advice on both day-to-day issues and major complex problems.  Mr. Felton’s clients range from entrepreneurial start-ups to established middle market companies operating in a diverse variety of industries, including manufacturing, technology, food & beverage, real estate, construction and healthcare, as well as service industries.
